This is a legal agreement between you and Unify4Life Corporation ("Unify4Life") stating the terms that govern your purchase and use of the AV|Shadow, AV Remote Control Software ("the Software") and UnifyGuide Service (all referred to collectively as "the Product" for the purposes of this Agreement). This Agreement, together with all updates, additional terms and software licenses, collectively constitute the "Agreement" between you and Unify4Life. To agree to these terms, click "I Accept". If you do not agree to these terms, click "Cancel" and return the AV|Shadow to the point of purchase within 15 days for a complete refund.

1. License Terms and Conditions. In consideration for the Fee paid by you, Unify4Life provides you with the Product, and grants you a limited, non-transferable, non-exclusive, and non-sub-licensable license to use the Product in accordance with this Agreement. You agree to use the Product with your Blackberry device, solely for personal use, and not for service bureau, time-sharing, resale or similar purposes. You agree not to: (i) reverse engineer, decompile, reverse compile, create compilations or derivative works, translate, adapt, or disassemble the Product or in part thereof, including the AV|Shadow and Software Solution and third-party content data; (ii) copy or reproduce the Product or any part thereof, including the third-party content data, in any form; (iii) publish, display, disclose, sell, rent, lease, store, loan, distribute, publicly display or perform, co-brand, frame, or permit third parties to link to the third-party content data part thereof; (iv) assign, sublicense, convey, transfer, pledge as security, or otherwise encumber the rights and licenses granted hereunder; (v) use the Product in any fashion that may infringe any patent, copyright, trademark, trade secret, or any other intellectual property or proprietary right of Unify4Life, its third-party data providers, or any other third-party; or (vi) directly or indirectly use, broadcast, or distribute the third-party content data, in connection with a television, radio, web, telephone, or telematics application without the specific written approval of Unify4Life.

2. System Requirements. Use of the Product requires one or more compatible Blackberry devices, Internet access (fees may apply), and certain software (fees may apply), and may require obtaining updates or upgrades from time to time. Because use of the Product involves hardware, software, and Internet access, your ability to use the Product may be affected by the performance of these factors. You acknowledge and agree that such system requirements, which may be changed from time to time, are your responsibility. The Product is not part of any other product or offering, and no purchase or rental (as applicable) or obtaining of any other product shall be construed to represent or guarantee you access to the Product.

3. Unify4Life's Privacy Policy. Except as otherwise expressly provided for in this Agreement, the Product is subject to Unify4Life's Privacy Policy at http://www.unify4life.com/privacy.php, which is expressly made a part of this Agreement. If you have not already read Unify4Life's Privacy Policy, you should do so now.

4. Your Information. You agree to provide accurate, current, and complete information required to register with the Product and at other points as may be required in the course of using the Product ("Registration Data"). You further agree to maintain and update your Registration Data as required to keep it accurate, current, and complete.

5. Warranty and Technical Support.

a. 90 Day Warranty. Unify4Life warrants the AV|Shadow and Remote Control Solution Software against defects in materials and workmanship under normal use for a period of ninety (90) days from the date of retail purchase by the original end-user purchaser ("Warranty Period"). If a defect arises and a valid claim is received within the Warranty Period, at its option and to the extent permitted by law, Unify4Life will repair or replace the defective AV|Shadow or Software at no charge, or refund the purchase price. When a refund is given, the defective AV|Shadow must be returned to Unify4Life and becomes Unify4Life’s property.

b. Warranty Exclusions and Limitations. Unify4Life does not warrant that the operation of the product will be uninterrupted or error-free. Unify4Life is not responsible for damage arising from failure to follow instructions relating to the product’s use. This warranty does not apply: (a) to damage caused by use with non-Unify4Life products; (b) to damage caused by accident, abuse, misuse, flood, fire, earthquake or other external causes; (c) to damage caused by operating the product outside the permitted or intended uses described by Unify4Life; (d) to damage caused by service (including upgrades and expansions) performed by anyone who is not a representative of Unify4Life or an Unify4Life Authorized Service Provider ("ASP"); (e) to a product or part that has been modified to alter functionality or capability without the written permission of Unify4Life; (f) to consumable parts, such as batteries, unless damage has occurred due to a defect in materials or workmanship; (g) to cosmetic damage, including but not limited to scratches, dents and broken plastic on ports; or (h) if any Unify4Life serial number has been removed or defa

THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY DEPENDING ON YOUR COUNTRY OF RESIDENCE. EXCEPT AS PROVIDED IN THIS WARRANTY AND TO THE EXTENT PERMITTED BY LAW, UNIFY4LIFE IS NOT RESPONSIBLE FOR DIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ANY BREACH OF WARRANTY OR CONDITION, OR UNDER ANY OTHER LEGAL THEORY. THE FOREGOING LIMITATION SHALL NOT APPLY TO DEATH OR PERSONAL INJURY CLAIMS, OR ANY STATUTORY LIABILITY FOR INTENTIONAL AND GROSS NEGLIGENT ACTS AND/OR OMISSIONS.

c. Technical Support. Purchase of the product entitles you to one (1) year of technical support services ("Technical Support Services"). Unify4Life's trained technical support specialists may contacted by telephone or email. Contact information is available on Unify4Life's website (www.unify4life.com).

6. Intellectual Property.

a. Acknowledgement of Ownership. You agree that the Product, including but not limited to the Software and AV|Shadow, graphics, audio clips, and editorial content, contains proprietary information and material that is owned by Unify4Life and/or its licensors, and is protected by applicable intellectual property and other laws, including but not limited to patent, copyright, industrial design and that you will not use such proprietary information or materials in any way whatsoever except for use of the Product in compliance with the terms of this Agreement. No portion of the Product may be reproduced in any form or by any means, except as expressly permitted hereunder.

b. Removal of Unify4Life Content or Other Materials. Notwithstanding any other provision of this Agreement, Unify4Life and its licensors reserve the right to change, suspend, remove, or disable access to any Products, third-party data content, or other materials comprising a part of the Product at any time without notice. In no event will Unify4Life be liable for the removal of or disabling of access to any such Products, content or materials under this Agreement.

c. Copyrights. All copyrights in and to the Product (as applicable) including but not limited to the software and third-party content data, are owned by Unify4Life and/or its licensors, who reserve all their rights in law and equity. The of the Software or UnifyGuide Service, except for use as permitted under this Agreement, is strictly prohibited and may infringe the intellectual property rights of others.

d. Trademarks. Unify4Life, the Unify4Life logo and other Unify4Life trademarks, service marks, graphics, and logos used in connection with the Product are trademarks or registered trademarks of Unify4Life in the U.S. and/or other countries. Other trademarks, service marks, graphics, and logos used in connection with the Product may be the trademarks of their respective owners. You are granted no right or license with respect to any of the aforesaid trademarks and any use of such trademarks.

7. Term & Termination.

a. Subject to terms of this Agreement, purchase of the Product entitles you to receive the UnifyGuide Service and the Technical Support Service for one (1) year from the date of your purchase of the Product.

b. Termination by Unify4Life. If you fail, or Unify4Life suspects that you have failed, to comply with any of the provisions of this Agreement, including but not limited to, violation of the license to the Software, or infringement or other violation of third parties' rights, Unify4Life, at its sole discretion, without notice to you may: (i) terminate this Agreement and/or (ii) terminate the license to the Software; and/or (iii) preclude access to the Product (or any part thereof).

c. Termination of the Product. Unify4Life reserves the right to modify, suspend, or discontinue the Product (or any part or content thereof) at any time with or without notice to you, and Unify4Life will not be liable to you or to any third party should it exercise such rights.

8. General Compliance with Laws. The Product is controlled and operated by Unify4Life from its offices in Canada. You agree to comply with all local, provincial, federal, and national laws, statutes and regulations that apply to your use of the Product.

9. Enforcement of These Terms. Unify4Life reserves the right to takes steps Unify4Life believes are reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement (including but not limited to Unify4Life's right to cooperate with any legal process relating to your use of the Product and/or Products, and/or a third party claim that your use of the Product and/or Products is unlawful and/or infringes such third party's rights). You agree that Unify4Life has the right, without liability to you, to disclose any Registration Data and/or Account information to law enforcement authorities, government officials, and/or a third party, as Unify4Life believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement (including but not limited to Unify4Life's right to cooperate with any legal process relating to your use of the Product and/or Products, and/or a third party claim that your use of the Product and/or Products is unlawful and/or infringes such third party's rights).

10. No Responsibility for Third-Party Materials or Web sites. Certain content and services available via the Product include materials from third parties. In addition, Unify4Life provides links to certain third party Web sites. You acknowledge and agree that Unify4Life is not responsible for examining or evaluating the content or accuracy of any such third-party material or Web sites. Unify4Life does not warrant or endorse and does not assume and will not have any liability or responsibility for any third-party materials or Web sites, or for any other materials, products, or services of third parties. Links to other Web sites are provided solely as a convenience to you. You agree that you will not use any third-party materials in a manner that would infringe or violate the rights of any other party, and that Unify4Life is not in any way responsible for any such use by you.

11. Disclaimer of Warranties; Liability Limitations.

a. UNIFY4LIFE DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE PRODUCT, INCLUDING THE UNIFYGUIDE SERVICE, WILL BE UNINTERRUPTED OR ERROR-FREE, AND YOU AGREE THAT FROM TIME TO TIME UNIFY4LIFE MAY REMOVE THE UNIFYGUIDE SERVICE FOR INDEFINITE PERIODS OF TIME, OR CANCEL THE SERVICE AT ANY TIME, WITHOUT NOTICE TO YOU.

b. YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY TO USE, THE PRODUCT IS AT YOUR SOLE RISK. THE SERVICE IS (EXCEPT AS EXPRESSLY STATED BY UNIFY4LIFE) PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, THE ABOVE EXCLUSION OF IMPLIED WARRANTIES MAY NOT APPLY TO YOU.

c. IN NO CASE SHALL UNIFY4LIFE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PRODUCT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, UNIFY4LIFE'S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

d. UNIFY4LIFE SHALL USE REASONABLE EFFORTS TO PROTECT INFORMATION SUBMITTED BY YOU IN CONNECTION WITH THE PRODUCT, BUT YOU ACKNOWLEDGE AND AGREE THAT YOUR SUBMISSION OF SUCH INFORMATION IS AT YOUR SOLE RISK, AND UNIFY4LIFE HEREBY DISCLAIMS ANY AND ALL LIABILITY TO YOU FOR ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY.

12. Changes. Unify4Life reserves the right, at any time and from time to time, to update, revise, supplement, and otherwise modify this Agreement and to impose new or additional rules, policies, terms, or conditions on your use of the Product. Such updates, revisions, supplements, modifications, and additional rules, policies, terms, and conditions (collectively referred to in this Agreement as "Additional Terms") will be effective immediately and incorporated into this Agreement. Your continued use of the UnifyGuide Product following will be deemed to constitute your acceptance of any and all such Additional Terms. All Additional Terms are hereby incorporated into this Agreement by this reference.

13. Notices. Unify4Life may send you notice with respect to the Product by sending an email message to the email address listed in your Unify4Life Account contact information or by sending a letter via postal mail to the contact address listed in your Unify4Life Account contact information. Notices shall become effective immediately.

14. Governing Law. The laws of the Province of Ontario, excluding its conflicts of law rules, govern these Terms of Product and your use of the Product. Your use of the Product may also be subject to other local, state, national, or international laws. You expressly agree that exclusive jurisdiction for any claim or dispute with Unify4Life or relating in any way to your use of the Product resides in the courts of the Province of Ontario.

15. Miscellaneous. These Terms of Product constitute the entire agreement between you and Unify4Life and govern your use of the Product, superseding any prior agreements between you and Unify4Life. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content, or third-party software. If any part of these Terms of Product is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. Unify4Life's failure to enforce any right or provisions in these Terms of Product will not constitute a waiver of such provision, or any other provision of these Terms of Product. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the other provisions will remain in full force and effect. Unify4Life will not be responsible for failures to fulfill any obligations due to causes beyond its control.
